Terms of Service

Effective Date: 7 September 2026

Last Updated: 7 September 2026

These Terms of Service ("Terms") govern access to and use of the SkuulNet school management platform ("SkuulNet", "Platform", "Service", "we", "us" or "our").

SkuulNet is a digital school management platform designed primarily for schools and educational institutions in Vanuatu.

By accessing or using SkuulNet, the school, educational institution, administrator, teacher, student, parent/guardian or other authorised user ("User", "you" or "your") agrees to comply with these Terms.

If you are accessing SkuulNet on behalf of a school or educational institution, you confirm that you have authority to accept these Terms on behalf of that organisation.

1. About SkuulNet

SkuulNet provides digital tools that may enable schools to manage and administer aspects of their educational operations, including, depending on the services subscribed to:

  • Student records
  • Staff and teacher records
  • Attendance
  • Classes and subjects
  • Examinations and assessments
  • Grades and academic results
  • Timetables
  • School fees and financial records
  • Parent and guardian information
  • Communication between schools, teachers, students and parents
  • Reports and school administration
  • Learning and educational information
  • Other school management functions

The features available to a particular school may depend on its subscription, configuration and agreement with SkuulNet.

2. School Accounts

A school or authorised school administrator is responsible for:

  • Providing accurate information when creating the school account
  • Maintaining the security of administrator credentials
  • Controlling who receives access to the school\'s SkuulNet account
  • Ensuring that users are authorised to access the information available to them
  • Ensuring that information entered into SkuulNet is accurate and lawful
  • Ensuring that the school complies with applicable laws and regulations

Schools should not provide access to people who are not authorised to access student, staff, parent or school information.

3. User Accounts

Users must keep their login credentials confidential and must not share their passwords with another person.

Each User is responsible for activity conducted through their account.

If you believe that an account has been compromised, you should notify the school administrator or SkuulNet as soon as reasonably possible.

SkuulNet may suspend or restrict an account where we reasonably believe that the account has been compromised, misused or used in violation of these Terms.

4. Student and Children\'s Information

SkuulNet is designed to support schools and may therefore process information relating to students who are children.

Schools are responsible for ensuring that they have the appropriate authority, consent or other lawful basis required to provide student information to SkuulNet and to use that information through the Platform.

SkuulNet will process student information primarily for the purpose of providing the services requested by the school.

SkuulNet does not sell student information.

We will not use student information for targeted advertising or unrelated commercial purposes.

Vanuatu\'s Data Protection and Privacy Act No. 13 of 2024 specifically addresses the processing of personal data relating to children, making appropriate controls particularly important for an education platform.

5. School Data Ownership

The school retains ownership of the information and content that it enters into SkuulNet ("School Data").

SkuulNet does not acquire ownership of School Data merely because the school stores or processes that information through the Platform.

The school grants SkuulNet a limited right to host, store, process, transmit, back up and otherwise use School Data only to the extent reasonably necessary to provide, maintain, secure and improve the SkuulNet Service.

6. SkuulNet Intellectual Property

SkuulNet and its underlying technology, including its software, design, interface, branding, logos, documentation, databases, systems and other intellectual property, remain the property of SkuulNet or its licensors.

Except where expressly permitted, Users must not:

  • Copy or reproduce the Platform
  • Sell, rent or sublicense the Platform
  • Reverse engineer or attempt to extract source code
  • Interfere with the Platform\'s operation
  • Bypass security controls
  • Use the Platform to build a competing service
  • Remove proprietary notices or branding

7. Acceptable Use

You must not use SkuulNet to:

  • Conduct unlawful activities
  • Gain unauthorised access to another account
  • Upload malicious software
  • Attempt to compromise the security of the Platform
  • Upload content that violates applicable law
  • Harass, threaten or abuse another person
  • Misuse another person\'s personal information
  • Impersonate another person
  • Interfere with another school\'s use of the Platform
  • Use the Platform for purposes unrelated to legitimate school or educational activities where such use is prohibited by the school or SkuulNet

8. Accuracy of Information

SkuulNet provides schools with tools for managing information.

However, SkuulNet does not guarantee that information entered by Users is accurate, complete or current.

Schools remain responsible for reviewing and correcting their own records.

For example, a school remains responsible for ensuring that student names, attendance records, grades, fees and other information entered into the system are accurate.

9. Availability of the Service

We aim to make SkuulNet reliable and available on a continuous basis.

However, the Platform may occasionally be unavailable because of:

  • Scheduled maintenance
  • Software updates
  • Infrastructure failures
  • Telecommunications or internet outages
  • Cybersecurity incidents
  • Third-party service failures
  • Natural disasters
  • Government actions
  • Circumstances beyond our reasonable control

We will take reasonable steps to restore the Service as quickly as reasonably possible.

10. Third-Party Services

SkuulNet may integrate with or rely upon third-party services, including hosting providers, payment providers, messaging services, email providers, analytics services or other technology providers.

Where third-party services process personal information, SkuulNet will take reasonable steps to ensure that appropriate contractual and security arrangements are in place.

11. Fees and Subscription

Where SkuulNet is provided under a paid subscription, the applicable school or organisation agrees to pay the fees specified in its subscription or service agreement.

Failure to pay applicable fees may result in suspension of access after reasonable notice.

Unless otherwise agreed in writing, subscription fees are separate from any fees charged by telecommunications providers, payment providers or other third parties.

12. Suspension and Termination

SkuulNet may suspend or terminate access where:

  • These Terms are materially breached
  • Fees remain unpaid
  • The Platform is being used unlawfully
  • There is a serious security risk
  • Continued use creates a risk to other Users or schools
  • Suspension is required by law

Where reasonably possible, SkuulNet will provide notice before suspension or termination.

13. School Data Following Termination

Following termination of a school\'s SkuulNet account, the school may request access to or export of its School Data, subject to the school\'s agreement and applicable technical capabilities.

SkuulNet may retain limited information where required for:

  • Legal compliance
  • Security
  • Dispute resolution
  • Accounting or financial records
  • Legitimate backup and disaster-recovery purposes

School Data will otherwise be deleted or anonymised in accordance with SkuulNet\'s retention practices and applicable law.

14. Security

SkuulNet will implement reasonable technical and organisational measures designed to protect information against unauthorised access, alteration, disclosure, loss or destruction.

However, no internet-based service can guarantee absolute security.

Schools and Users must also take reasonable steps to protect their accounts and devices.

15. Privacy

Use of SkuulNet is also governed by the SkuulNet Privacy Policy, which explains how personal information is collected, used, stored, disclosed and protected.

The Privacy Policy forms part of these Terms.

16. Changes to the Service

SkuulNet may modify, add or remove features from the Platform from time to time.

Where a material change substantially affects a school\'s use of the Service, we will provide reasonable notice where practicable.

17. Changes to These Terms

We may update these Terms from time to time.

The updated version will be published through SkuulNet with the revised effective date.

Where required, Users may be required to accept the updated Terms before continuing to use the Platform.

18. Limitation of Liability

To the maximum extent permitted by applicable law, SkuulNet will not be responsible for indirect, incidental, special or consequential loss arising from use of the Platform.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

19. Governing Law

These Terms shall be governed by the laws of the Republic of Vanuatu.

Any dispute relating to these Terms or the use of SkuulNet shall be subject to the applicable courts and dispute-resolution mechanisms of Vanuatu, unless otherwise agreed in writing.
